1. Agreement to Terms

By accessing or using Batch ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Batch is a B2B wholesale e-commerce platform that allows businesses to:

• Create a custom wholesale ordering portal for their clients
• Automate B2B orders with a single platform, with no commissions
• Select themes and customize their wholesale store
• Set up products and pricing options for wholesale clients
• Receive and manage wholesale orders through the platform
• Access order management and client management features

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account using either:

• Email authentication (via magic link)
• Google OAuth

3.2 Account Responsibility

You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription and Pricing

4.1 Subscription Model

The Service operates on a monthly subscription basis. Subscriptions are billed monthly and provide access to all platform features including wholesale portal creation, order management, and client management tools.

4.2 Pricing

The monthly subscription fee is 890€ per year. Pricing may change at any time, but price changes will not affect your current subscription period. You will be notified of any price changes before your next billing cycle.

4.3 Payment Processing

Payments are processed securely through Stripe. By subscribing to the Service, you agree to Stripe's terms and conditions. Your subscription will automatically renew each month unless cancelled.

4.4 Refund Policy

Subscriptions are fully refundable if the refund request is made within 7 days of purchase.

Refund requests must be submitted within 7 days of the initial subscription purchase. After 7 days, no refunds will be provided for that billing period, but you may cancel your subscription at any time to prevent future charges.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service to:

• Create and manage wholesale ordering portals for your business
• Set up products and pricing for your wholesale clients
• Process and manage B2B orders through the platform
• Customize your wholesale store with available themes
• Manage client accounts and order history

5.2 Prohibited Use

You may NOT:

• Use the Service to sell illegal products or services
• Upload product information or content you do not have rights to use
• Use the Service to engage in fraudulent or deceptive business practices
• Attempt to reverse engineer or hack the Service
• Use automated tools (bots) to manipulate orders or pricing
• Resell or redistribute access to the Service without authorization
• Violate any applicable laws or regulations
• Infringe on third-party intellectual property rights
• Use the Service to compete directly with Batch or create competing services

6. Intellectual Property Rights

6.1 Your Content

You retain all rights to product information, images, pricing data, and other content you upload to the Service. By uploading content, you grant us a limited license to process and display your content for the purpose of providing the wholesale e-commerce platform services.

6.2 Your Data

You own all data related to your wholesale portal, including product catalogs, pricing information, client data, and order history. We do not claim any ownership rights to your business data or content.

6.3 Our Intellectual Property

The Service, including its software, algorithms, design, and branding, is our intellectual property and is protected by copyright, trademark, and other laws. You may not copy, modify, or distribute any part of the Service without our written permission.

7. Content Moderation

We reserve the right to review, monitor, and remove content that violates these Terms or applicable laws. We use automated and manual moderation to ensure compliance.

8. Service Availability

8.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance when possible.

8.2 Service Limitations

We may impose the following limitations:

• Maximum file size for product images and documents
• Number of products, clients, or orders per account may be subject to limits
• Rate limiting to prevent abuse and ensure service stability
• Storage limits for product images and order data

8.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that the Service will result in increased sales, orders, or business growth. The Service is provided as a platform for managing wholesale operations, and results depend on various factors including your products, pricing, and business practices.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Batch and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content, products, or data you upload to the Service
• Orders processed through your wholesale portal

11. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12. Third-Party Services

The Service integrates with third-party services including Google OAuth for authentication and Stripe for payment processing. Your use of these services is subject to their respective terms and conditions.

13. DMCA and Copyright Infringement

We respect intellectual property rights. If you believe content on our Service infringes your copyright, please contact us with:
